Platform Terms of Service

These Platform Terms of Service ("Platform Terms") govern your organization's access to and use of the Authenible association-management platform (the "Platform") operated by Authenible, Inc. ("Authenible," "we," "us," or "our"). They apply to the organization that registers an account (the "Organization," "you," or "your") and to the administrators who act on its behalf. By creating an Organization account, connecting a bank, or otherwise using the Platform, you agree to these Platform Terms on behalf of your Organization. If you do not agree, do not use the Platform.
These Platform Terms are specific to the Platform and are in addition to the general Terms of Use for authenible.com and our Privacy Policy.
1. The Platform
The Platform helps associations and similar organizations run memberships, dues, events, donations, and a public website, and collect related payments. We provide the software; you operate your Organization and remain responsible for your members, your content, and your compliance with applicable law.
2. Eligibility and your account
To collect payments through the Platform you must register your Organization as a legitimate entity and complete payment onboarding using:
- your Organization's registered business-entity information;
- your Organization's EIN (employer identification number); and
- a bank account and email in the Organization's name — never a personal one.
You are responsible for the accuracy of this information, for keeping your account credentials secure, and for all activity under your administrators' accounts. You must promptly update information that changes.
3. Payments and the Authenible payment process
Payment processing on the Platform is provided by Stripe under a Stripe Connect account that your Organization owns and controls. Your Organization is the merchant of record for every payment. Funds settle directly to your Organization's connected bank account on Stripe's normal schedule. Authenible never holds, escrows, routes, or takes custody of your funds. Your use of Stripe is also subject to Stripe's own connected-account agreement.
You agree to process payments related to your use of the Platform — including membership dues, event fees, and donations — through the Authenible payment process. Authenible's fee for the Platform is 0.75% of each payment (the "Application Fee"), collected automatically as an application fee on each charge. The Application Fee applies only to payments processed through the Platform.
Payments you collect outside the Authenible payment process are not captured, recorded, reconciled, reported, or supported by the Platform. Authenible has no visibility into — and accepts no responsibility for — payments collected by other means (including cash, check, external payment processors, or direct bank transfers). Such payments will not appear in your dashboards, member records, reporting, or reconciliation; they receive no Platform support or dispute assistance; and they are outside any Authenible fee, refund, or guarantee. Deliberately routing Platform-related payments around the Authenible payment process to avoid the Application Fee is a breach of these Platform Terms and may result in suspension or termination of your account.
Stripe charges its own standard processing fees, which your Organization pays directly out of its settlement; the Application Fee is in addition to Stripe's fees. The Application Fee is non-refundable: if you refund a payment to a member or payer, Authenible's Application Fee (and Stripe's processing fee) is not returned, and your Organization absorbs both.
4. Fees and changes to fees
The Application Fee of 0.75% on payments is the only fee Authenible charges for the Platform. There is no setup fee, no per-member fee, and no monthly or seat fee. Your Organization's rate is fixed at the time you onboard, and a later change to our standard rate does not automatically change the rate for an existing account.
We do not currently offer paid tiers, and 0.75% is our intended price. However, if law, regulation, or payment-industry economics change materially (for example, sustained increases in processing costs), we reserve the right to adjust the standard Application Fee for new accounts. We will not silently change the rate on an existing account; any change to an existing Organization's rate would be communicated in advance, and continued use after the stated effective date constitutes acceptance.
5. Your responsibilities
As the merchant of record and the operator of your Organization, you are responsible for:
- all disputes, chargebacks, refunds, and negative balances on your connected account;
- the accuracy of the membership types, dues amounts, events, and member records you configure;
- your tax obligations, receipts, and any charitable-contribution representations you make to members or donors;
- complying with applicable law, your own governing documents, and any card-network rules; and
- using the Platform only for lawful purposes and not to process payments unrelated to your Organization's legitimate activities.
6. Member and payer data
You control the member, donor, and payer information you collect through the Platform; Authenible processes that information on your behalf to provide the Platform, as described in our Privacy Policy. Raw payment-card data is handled solely by Stripe — Authenible stores only payment identifiers, never full card details. You are responsible for providing your members and payers with any notices and obtaining any consents required by law.
7. Acceptable use; suspension
You may not misuse the Platform, including by attempting to interfere with its operation, accessing it through unauthorized means, circumventing the Authenible payment process, or using it to facilitate unlawful, fraudulent, or deceptive activity. We may suspend or limit access to protect the Platform, our other customers, or to comply with law or Stripe's requirements, and will restore access once the issue is resolved where reasonable.
8. Disclaimer of warranties
The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free. Authenible is not a bank, money transmitter, payment processor, tax advisor, or legal advisor.
9. Limitation of liability
To the maximum extent permitted by law, Authenible will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, funds, or data, arising out of or related to your use of the Platform. To the maximum extent permitted by law, Authenible's total liability arising out of or related to the Platform will not exceed the total Application Fees your Organization paid to Authenible in the three (3) months preceding the event giving rise to the claim.
10. Term and termination
These Platform Terms apply for as long as your Organization uses the Platform. You may stop using the Platform at any time; because funds settle directly to your bank, ending your use does not require Authenible to disburse any balance. On termination you remain responsible for obligations already incurred (including disputes and chargebacks on your connected account). We will make your Organization's data available for export for a reasonable period unless law requires otherwise.
11. Changes to these Platform Terms
We may update these Platform Terms. When we do, we will revise the "Last updated" date and version above. For material changes we may require administrators to accept the updated Platform Terms before continuing to use payment features. Continued use of the Platform after an update means you accept the updated Platform Terms.
12. Governing law
These Platform Terms are governed by the laws of the United States and the State of Authenible's principal place of business, without regard to its conflict of laws principles.
